Michael Pearson is a Senior Associate Attorney with the Law Office of Williams & Associates, PC.  He has extensive experience with transactional corporate and tax representation, assisting clients through every phase of the business lifecycle, from entity formation and daily operations, to sale, merger, or liquidation.  He has represented borrowers and commercial lenders in real estate financing and has drafted tax opinions for Initial Public Offerings, and third-party legal opinions for tax-free reorganizations.

Mike also advises clients on federal and California state tax audits and appeals.  He has requested IRS Private Letter Rulings and advised clients on a wide range of income tax issues, including IRC section 1031 exchanges, state residency matters, and innocent spouse relief.  Mike has helped clients with Offers in Compromise and has worked to prevent clients from being published on the FTB's Annual Top 500 Delinquent Taxpayer List. 

Active in the state and local bar associations, Mike previously served as Chair of the Young Tax Lawyers section of the State Bar of California, and the Chair for both the Business Section and the Tax Section of the Sacramento County Bar Association.  He has also served as a member of the Board of Directors of the Camelia Symphony and is a member of the Sacramento Rotary Club.

Mike earned his Juris Doctorate from the University of California, Davis, School of Law, and earned his Bachelor of Arts (Philosophy) from the University of the Pacific, where he graduated summa cum laude.
In his free time, Michael enjoys running, exercise, and spending time with his family.
